These Terms of Service outline the rules and regulations for the use of GigChampion LLC/DBA Boat Deals Direct’s (“Boat Deals Direct”) Website, located at boatdealsdirect.com. These Terms of Service, which include all guidelines, policies and content (including Boat Deals Direct’s Privacy Policy and IP Policy) included herein, are a legally binding contractual agreement between you (“User”, “you,” “your”) and (“Boat Deals Direct”, “we”, “us”) (hereinafter collectively referred to as the “Terms of Service”).

Overview and Definitions

Boat Deals Direct is an online marketplace that enables purchasers or buyers of boats and yachts (i.e., “boats”) and boat related products and/or equipment (“Buyers”) to search for sellers of boats and boat related products (“Sellers”) using Boat Deals Direct’s unique geo-locating search capability – – which allows Buyers to search for and obtain a list of all Sellers in Buyer’s geographical area, or to widen that search to canvas Sellers within a broader geographical area. The Website contains features that enable Buyers and Sellers (collectively “Users”) to do, among other things, the following:

Buyers

Search for Sellers, communicate with Sellers and obtain quotes from Sellers to purchase boat and boat related products.

Sellers

Create profiles, advertise capabilities, obtain boat related product leads and provide bids to potential Buyers.

Acceptance of Terms

Please read these terms of service carefully.

By accessing, downloading, or using any of the sites and services, you agree to become bound by these terms and conditions. If you do not agree to all the terms and conditions, then you may not access and use the sites and services.

We reserve the right to revise these Terms of Service and all linked information at any time in our sole discretion by updating this posting or any linked information. Unless otherwise provided in such revision, the revised terms will take effect when they are posted.

Registration

(A) Eligibility

To access our services through our Website, you must be a legal entity, or an individual of eighteen (18) years of age or older who can form legally binding contracts. To become a User, you must accept all the terms and conditions in, incorporated by reference in, and linked to, these Terms of Service. By becoming a User, you agree to: (1) abide by the Terms of Service and the processes, procedures, and guidelines described throughout the Website; (2) be financially responsible for your use of the Website and the purchase or delivery of any products and/or equipment; and (3) perform your obligations as specified by any purchase or order that you submit to a Seller and/or accept from a Buyer (“boat related purchase”), unless such obligations are prohibited by law or by the Terms of Service. Boat Deals Direct reserves the right, in its sole discretion, to refuse, suspend, or terminate services to anyone.

(B) Registration

To become listed as a Seller and to access services you must register for an Account. You agree to provide true, accurate and complete information as prompted by the registration form and all forms you access on the Website, and to update this information to maintain its truthfulness, accuracy and completeness.

Once you have registered with the Website as a Seller, the Website will create your Account with Boat Deals Direct and associate it with a user identification or name and/or email address, account number. You may create a profile under your Account.

During registration, you will be asked to choose a username and password for the Account. As a Seller, you agree and you are entirely responsible to safeguard, and maintain the confidentiality of the username and password you use to access this Website. You authorize Boat Deals Direct to assume that any person using the Website with your username and password is you or is authorized to act for you.

Membership

(D) Membership

Boat Deals Direct provides Sellers several different membership options, either as a Seller of products/services or of equipment. The availability of these membership options is dependent upon the Seller’s selections made during registration. Boat Deals Direct has the exclusive right to cancel memberships at any point in time. Sellers pay a Listing or Membership Fee. Boat Deals Direct has the exclusive right to increase or change its membership or listing fees paid by a Seller. Sellers are not entitled to a refund of any membership fees paid to be listed on the Website.

Relationships

(A) Seller and Buyer

Boat Related Purchase: The engagement, contracting, management and payment for a Boat Related Products is between a Buyer and Seller. Boat Deals Direct provides a platform to connect Buyers and Sellers, and it has no responsibility for the negotiation of the terms or for payment under any Boat Related Purchase Agreement. However, in using the Boat Deals Direct website, Seller and Buyer each covenant and agree to act in good faith and fair dealing.

Independence: Seller and Buyer each acknowledge and agree that they have no relationship with Boat Deals Direct and nothing in these Terms of Service shall be deemed to create a partnership, joint venture, agency, or employee relationship between Buyer and Seller or between Boat Deals Direct and any Seller or Buyer.

(B) Users and Boat Deals Direct

General: Boat Deals Direct is not a party to the dealing, contracting and fulfillment of any Boat Related Purchase Agreement between a Buyer and Seller and has no liability for the performance of services or providing of any products under that Boat Related Purchase Agreement or anything listed on the website. Boat Deals Direct has no control over and does not guarantee the quality, safety or legality of any services performed or deliverables created, advertised, the truth or accuracy of boat, yacht, boat related purchase, any listings, the qualifications, background, or abilities of Users, the ability of Buyers to pay for services or products, the ability of Seller to perform services to have the listed boat related product, or that a Buyer or Seller can or will complete a boat related product or anything listed on the website. Boat Deals Direct is not responsible for and has no control over how a Seller operates and is not involved in any listing, product advertised, or boat related purchase of the Seller. All rights and obligations for the purchase and sale of products or other deliverables are solely between a Buyer and Seller. Boat Deals Direct will not provide any Seller with any materials or tools to complete any boat related purchase, listing, or advertisement. Buyers and Seller must look solely to the other party for enforcement and performance of all the rights and obligations.

Agency: These Terms of Service and any registration for the subsequent use of this Website by any user or User will not be construed as creating or implying any relationship of agency, franchise, partnership or joint venture between you and Boat Deals Direct, except and solely to the extent expressly stated.

Taxes: Users are responsible for payment and reporting of any taxes. Boat Deals Direct is not responsible for determining the applicability of any taxes or to remit, collect or report any such applicable taxes.
